Governing Law; Jurisdiction
To the fullest extent permitted
by law, this Agreement and your use of this
Site shall be governed by the laws of the
United States of America and the State of
New York without regard to its conflicts
of laws principles. Moreover, any legal
action or proceeding related to this Site
shall be brought exclusively in a Federal
or state court of competent jurisdiction
sitting in New York.
Indemnification
You agree to indemnify, defend
and hold harmless CNS, its shareholders,
directors, officers, employees, agents,
suppliers and third party partners from
and against all losses, expenses, damages
and costs, including reasonable attorneys'
fees, resulting from any violation by you

Severability

is held to be unlawful, void or unenforceable,
then such provision shall be severable without
affecting the enforceability of all remaining
provisions.
Entire Agreement

the entire agreement between you and CNS

Termination
You agree that CNS, in its sole discretion,
may terminate or restrict your use or access
to this Site (or any part thereof) for any
reason, including, without limitation, that
CNS believes you have violated or acted
